Minimum Advertised Price (MAP) Policy

StringKing, Inc., a sporting goods company incorporated in Delaware and operating under the name “StringKing” in California (hereinafter referred to as “StringKing”), has unilaterally adopted this Minimum Advertised Price Policy (“Policy”).

StringKing is recognized as a leading innovator in sporting goods and custom apparel. Our products are trusted by professional athletes, collegiate programs, and first-time players alike. To preserve the value of the StringKing brand and to support our authorized resellers in delivering exceptional service, StringKing has established this Policy to protect brand integrity, maintain fair competition, and ensure resellers earn sustainable margins.

This Policy is adopted unilaterally by StringKing. Resellers remain free to establish their own resale prices for StringKing products; however, any reseller that advertises a StringKing product below the designated minimum advertised price (“MAP”) will be subject to enforcement actions, at StringKing’s sole discretion, as outlined below. Compliance with this Policy is a condition of participation in the StringKing Authorized Reseller Program.

1. 1. Definitions
   (a) “MAP Products” means all StringKing products designated by StringKing as subject to this Policy, each of which will have a specified MAP communicated by StringKing.
   (b) “Advertising” means any public or customer-facing communication of price, in any format or medium, including but not limited to: websites, social media, online marketplaces, email marketing, print catalogs, coupons, mailers, inserts, in-store signage, radio, television, and public signage.
   (c) “Net Advertised Price” means the final advertised price after all discounts, coupons, rebates, loyalty points, bundling, or other incentives are applied, whether before or during checkout.




2. 2. Scope
   This Policy applies to all advertisements of MAP Products in the United States, regardless of medium. A violation at one location will be considered a violation by all reseller locations, including online storefronts.




3. 3. MAP Requirement
   Each MAP Product will have a designated MAP established and communicated by StringKing. Advertising any MAP Product at a Net Advertised Price below MAP is a violation of this Policy.




4. 4. Permitted Advertising
   It shall not be a violation of this Policy to:
   (a) Use non-specific phrases such as “lowest prices” or “we will match or beat competitors,” provided no advertised price falls below MAP.
   (b) Advertise that a customer may “call for price” or “email for price,” provided no lower price is displayed.
   (c) Advertise manufacturer rebates offered by StringKing, provided that the advertisement includes:
     • The MAP-compliant price;
     • The rebate amount;
     • The final net price with an asterisk indicating “*After manufacturer’s rebate.”




5. 5. Prohibited Practices
   The following practices constitute violations of this Policy:
   (a) Advertising MAP Products below MAP.
   (b) Applying coupons, rebates, loyalty points, gift cards, or incentives that reduce the Net Advertised Price below MAP.
   (c) Bundling MAP Products with other products (not pre-approved by StringKing) in a way that reduces the Net Advertised Price below MAP or inflates the value of the bundled item.
   (d) Advertising group purchases, “two-for-one” offers, or other schemes designed to circumvent MAP.




6. 6. Monitoring and Audit
   StringKing reserves the right to monitor, investigate, and audit reseller advertising to ensure compliance. Resellers agree to provide, upon request, evidence of compliance.




7. 7. Enforcement
   Violations of this Policy will be addressed at StringKing’s sole discretion, which may include the following:
   (a) First Violation – Written warning requiring correction within 48 hours.
   (b) Second Violation – Suspension of order fulfillment and reseller benefits for a minimum of 30 days.
   (c) Third Violation – Termination of Authorized Reseller status and indefinite refusal of new orders.
   
   In addition, StringKing may:
     • Cancel pending orders;
     • Refuse future orders;
     • Declare outstanding invoices immediately due and payable;
     • Charge any valid payment method on file to recover amounts owed.




8. 8. Temporary Modifications
   From time to time, StringKing may, at its sole discretion, permit advertising below MAP for specific promotions or limited periods. In such cases, StringKing will notify all resellers in advance.




9. 9. Authority
   StringKing sales representatives and employees are not authorized to negotiate or grant exceptions to this Policy. All inquiries must be directed to StringKing corporate management.




10. 10. Governing Law
    This Policy shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.




11. 11. Entire Policy
    This Policy constitutes the complete and final expression of StringKing’s unilateral MAP Policy. StringKing reserves the right to update, modify, or amend this Policy at any time, with or without prior notice.
